Terms and Conditions

By accessing or using SmartBiz Directory ( "Platform"), you agree to be bound by these Terms and Conditions. If you do not agree, you may not use the Platform.

• You must be at least 18 years old and have the legal capacity to enter into binding agreements.
• If you are registering on behalf of a business, you confirm that you are authorised to represent that business and bind it to these terms.
• You agree to provide accurate and truthful information at all times. Misrepresentation may result in account suspension or termination.

SmartBiz Directory is an AI-powered business directory that connects consumers with local businesses in South Africa. Our services include:

• Public business search, discovery, and browsing.
• Business listing creation, management, and verification.
• AI-powered tools for paid subscribers, including chatbots, voice receptionists, appointment booking, and automated review responses.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.

SmartBiz Directory offers multiple subscription tiers. By subscribing to a paid plan, you agree to the pricing and features described below:

• Free: basic directory listing with address and contact details, Google Maps embed, and customer reviews.
• Starter — R599/month: everything in Free, plus an AI chatbot on your listing page, 200 conversations per month, lead capture, and instant notifications.
• Pro — R2 499/month: everything in Starter, plus a dedicated AI voice receptionist, 100 call minutes included per month, call transcripts and summaries, and an analytics dashboard.
• Business — R3 999/month: everything in Pro, plus 300 call minutes included per month, AI appointment booking, AI review responses, email automation sequences, and priority support.

Voice top-up packs (available to Pro and Business subscribers):

• 50 minutes — R249
• 150 minutes — R599
• 350 minutes — R1 199
• 800 minutes — R2 599

All prices are in South African Rand (ZAR) and inclusive of VAT where applicable. Plans are billed monthly in advance.

• Subscriptions are billed monthly via Paystack. You authorise us to charge your chosen payment method on each billing cycle.
• If a payment fails, we grant a 3-day grace period to resolve the issue before suspending paid features. Your free listing remains visible.
• No refunds are provided for partial months or unused features. You may cancel anytime and retain access until the end of the current billing period.
• Top-up packs are non-refundable once purchased. Minutes are added immediately and do not expire while your subscription is active.
• We may adjust pricing with 30 days' notice via email. Continued use after the change constitutes acceptance of the new price.

Our AI-powered features (chatbot, voice receptionist, booking assistant, and review responder) are provided to assist businesses and consumers. You acknowledge and agree that:

• AI-generated responses are automated and may not always be accurate, complete, or appropriate.
• AI responses do not constitute professional advice (legal, medical, financial, or otherwise). Always verify critical information directly with the business.
• Usage caps apply as specified in your plan. Exceeding your monthly allowance may result in temporary suspension of AI features until the next cycle or a top-up is purchased.
• We are not liable for any decisions, actions, or outcomes resulting from reliance on AI-generated content.

By creating or claiming a business listing, you agree to the following rules:

• All business information must be accurate, current, and truthful.
• You may not post fake reviews, manipulate ratings, or otherwise mislead consumers.
• You may not use the Platform for illegal activities, including but not limited to fraud, defamation, harassment, or the sale of prohibited goods and services.
• You may not upload spam, malware, or content that infringes on the intellectual property rights of others.
• We reserve the right to edit, remove, or suspend any listing that violates these rules without prior notice.

If you use SmartBiz Directory as a consumer (to search, review, or interact with businesses), you agree that:

• Reviews must reflect honest, first-hand experiences. You may not post defamatory, abusive, or fabricated reviews.
• You will not use the Platform to harass, threaten, or discriminate against businesses or other users.
• You should verify critical information directly with the business (e.g., pricing, availability, qualifications) before making decisions.
• We are not a party to any transaction or dispute between you and a listed business.

The SmartBiz Directory platform, brand, software, and underlying technology are owned by SMARTBIZDIRECTORY (PTY) LTD — Registration number 2026/459356/07 and protected by South African and international copyright, trademark, and other intellectual property laws.

Business owners retain ownership of their content (names, descriptions, logos, images, and other materials submitted to their listings). By uploading content, you grant us a non-exclusive, royalty-free licence to display and distribute that content on the Platform for the purpose of operating the directory.

You may not copy, scrape, reverse-engineer, or reuse any part of the Platform without our prior written consent.

To the fullest extent permitted by South African law:

• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform.
• We are not liable for the content, accuracy, or conduct of any business listed on the Platform.
• We are not liable for AI-generated responses or outcomes from AI interactions, including missed bookings, miscommunicated information, or unsatisfactory customer experiences.
• We are not liable for disputes between businesses and consumers that originate on or are facilitated by the Platform.
• Our total liability to you for any claim shall not exceed the amount you paid to us in the 3 months preceding the claim, or R1 000, whichever is greater.

You may delete your account and listings at any time from your dashboard. Upon deletion, your personal information will be handled in accordance with our Privacy Policy.

We may suspend or terminate your access immediately and without notice if you:

• Violate these Terms and Conditions.
• Engage in fraudulent, illegal, or harmful activity on the Platform.
• Fail to resolve a payment issue within the 3-day grace period.

Where termination is not due to a violation, we will provide 30 days' notice by email before discontinuing your account.

These Terms and Conditions are governed by the laws of the Republic of South Africa.

In the event of a dispute:

1. Contact us first. Email info@revelution.co.za with a detailed description of the issue. We will make every reasonable effort to resolve the matter within 14 business days.
2. If unresolved, either party may propose mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA).
3. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the South African courts in Pretoria, Gauteng.

We may update these Terms and Conditions from time to time to reflect changes in law, our services, or business practices. When we make material changes, we will notify you by email at least 30 days before the changes take effect.

Continued use of the Platform after the effective date of updated terms constitutes acceptance of the revised terms. If you do not agree, you must stop using the Platform and cancel your subscription.
